1. Acceptance of Terms

By using LexDW’s website, mobile app, or any related digital platform (“the Platform”), or by purchasing our services, you agree to be bound by these Terms of Use (“Terms”), our Privacy Policy, and any additional agreements that apply to specific services. If you do not agree, you must immediately stop using the Platform.

2. About LexDW

LexDW (“we,” “our,” “us”) operates as both:
(a) a licensed Nigerian law firm providing legal and compliance services; and
(b) a technology platform offering company formation, document automation, and compliance management tools.

Unless expressly stated, use of the Platform does not automatically create a solicitor–client relationship. Legal advice is rendered only through a signed engagement letter or retainer agreement.

3. Description of Services

LexDW provides digital and professional services including:

  • Company incorporation and registration (CAC filings)

  • Tax registration and annual return filings

  • Registered agent and business address services

  • Legal drafting and document review

  • Compliance advisory and corporate governance support

  • Virtual legal consultation and retainer packages

LexDW acts as a facilitator and intermediary between users and relevant government agencies (CAC, FIRS, etc.). We cannot guarantee government processing times, approvals, or outcomes.

4. No Guarantee or Warranty

All Platform services are provided “as is” and “as available.”
LexDW does not warrant that any application or filing will be approved, nor do we guarantee specific legal outcomes.
We are not liable for losses arising from delays, rejections, or errors by government agencies, banks, or third-party vendors.

5. Client Responsibilities

You agree to:

  • Provide accurate, complete, and up-to-date information.

  • Review all documents before signing or submission.

  • Use the Platform and services only for lawful purposes.

  • Maintain the confidentiality of your login credentials.

You are solely responsible for the accuracy of information supplied for any filing, registration, or contract prepared on your behalf.

6. Intellectual Property

All content, logos, trademarks, templates, and technology on the Platform belong to LexDW or its licensors. You may not copy, reproduce, or distribute any material without our written consent.

7. Data Protection & Privacy

LexDW collects and processes personal and business data in compliance with the Nigeria Data Protection Act (NDPA 2023) and GDPR (where applicable).

Data usage includes:

  • Providing and improving our services;

  • Processing CAC/FIRS filings;

  • Client communication and record keeping;

  • Marketing and analytics (with consent).

You consent to LexDW securely storing and transferring your data—including cross-border transfer where necessary—for business, compliance, and marketing purposes.
You may request access, correction, or deletion of your data by contacting privacy@lexdw.com.

8. Limitation of Liability

To the fullest extent permitted by law:

  • LexDW shall not be liable for any indirect, incidental, special, or consequential damages.

  • Our total liability for any claim shall not exceed the amount paid for the specific service rendered.

  • LexDW is not liable for losses caused by third parties, government agencies, or your own failure to follow professional advice.

By using our Platform, you agree that LexDW provides information, facilitation, and representation only within agreed terms, and assumes no liability beyond statutory obligations.

9. Third-Party Services

LexDW may integrate or refer users to banks, payment processors, or other service providers. These entities operate independently, and LexDW bears no responsibility for their actions, data handling, or service outcomes.

10. Payment & Refunds

All payments are processed through secure gateways.
Fees for completed filings or initiated services are non-refundable, even if the government rejects your application, unless LexDW made a verified administrative error.
Refund requests must be made in writing to support@lexdw.com within 7 working days of payment.

11. Indemnification

You agree to indemnify, defend, and hold harmless LexDW, its partners, employees, and affiliates against any claims, damages, or expenses arising from your use of the Platform, your submissions, or breach of these Terms.

12. Suspension & Termination

LexDW may suspend or terminate your account or service access at any time for misconduct, fraud, non-payment, or violation of these Terms.
You may close your account by written notice, subject to settlement of outstanding fees.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising from the use of LexDW’s services shall be resolved by confidential arbitration in Abuja, Nigeria, conducted under the Arbitration and Conciliation Act.
The arbitral award shall be final and binding.

14. Severability

If any clause of these Terms is found unenforceable, the remaining provisions shall continue in full effect.

15. Updates to Terms

LexDW reserves the right to update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
